P5 — Fold LF, new entity BACK at 15499
~$25–50K fit-out + PERMIT/TMF risk (same as P2 — see card)
Glen Ellen + home upstairs + Sundays + longer hours + NO $59K debt + NO CUP conditions. Best legal-economic outcome — the permit/TMF risk is a fight, not a certainty.
Q6 answer: county cross-conditions new entity on LF debt → dead. Goodharold refuses → dead. County forces occupancy-change permit + full TMF → economics slide to P2-minus-debt (still good, just not free).
No building permit → no TMF vehicle → $60K TMF evaporates. Conditions don't follow. Local buffers GONE — only state 600-ft school rule. Site hunt open (J excluded Kenwood 8/25 — Boyes Hot Springs/Penngrove/Glen Ellen next).
Leaves Glen Ellen (J's base). "Intensity increase" backdoor TMF argument.
🥉 3
P2 — LF converts to CBL at 15499
~$59K debt + $25–50K fit-out + TMF if permit forced
Keeps site + cap position; drops every 2021 condition; TMF fight is winnable ($8.5K rate gap + net-new-trips + prior-use credit).
County forces change-of-occupancy permit → TMF reassessed (~$67K corrected, $0 if net-new argument holds) → slides to #4.
4
P4 — Fold LF, new entity, new site
$0 county + fit-out + collections fight on $59K
Same clean-slate economics as P5 without landlord dependence.
Loses Glen Ellen entirely; county collections + alter-ego noise (weak per research, still a fight).
Approvals in hand; locked TMF ($60K vs corrected ~$67K — savings ≈ $7K, not $15K).
HOME BANNED (in project description + CEQA). SUNDAYS BANNED. Sidewalk + bus pad + decommission all attach. Only survives via amendment (told MIGHT be available — unverified).
The one-sentence verdict: J was told CUP amendments might rescue P1 (residence, Sundays, hours) — if that's true P1 re-enters at #3; if not, P1 is dead and the fight is P5-first (ask the county the cross-entity question in writing) with P3 (already-retail site, non-Kenwood) as the ready fallback. Everything runs through 3 written answers now: Q2 amendment, Q3 permit-free CBL at 15499, Q6 cross-entity clearances. (Q1 — TMF inside the balance — answered by J 8/25 from the invoices: YES.)
💰 The Money — every dollar, itemized
County fee ledger (verified, invoices printed 8/24/26)
Orr: $59,246.80 at-cost (→ collections if walked) + $60,236.42 TMF (→ dropped if abandoned)
Is the TMF inside the $119,483.22?
✔ ANSWERED 8/25 (J, from the invoices): YES — TMF is a line item INSIDE the $119,483.22, one of the biggest.
Matches Orr's split: $59,246.80 at-cost + $60,236.42 TMF. J reads the invoice line as ≈$62K — close to Orr's $60,236.42 (small delta may be admin/interest on the fee line). Orr's written line-item closes the exact figure (A1/A2 downgraded to confirmation).
TMF if reassessed (Orr's warning)
$75,661.74 claimed = WRONG RATE
Official 2026 schedule (both Countywide & Sonoma Valley programs, eff 1/1/26): Commercial = $318/ADT (ENR +2.8%, SCC §§26-98-600/26-98-010). 211.2 × $318 = $67,161.60. Orr's implied $358.15/trip matches nothing published. $8,500 unexplained → demand the worksheet (A1). And TMF applies to net-new trips — office→retail in an occupied building ≈ near zero.
Locked TMF vs corrected reassessment
$60,236.42 vs ~$67,162
P1's "savings" from the locked rate shrink to ~$7K. vs $0 under the net-new argument, P1's savings go NEGATIVE.
2023 payment plan
revivable per Orr #3
Fee-compromise ($20K cap / extra 1% tax) is DEAD — county can't change tax structure.
BLD24-5589 (plan check EXPIRED 8/27 finding)
$10K declared value; fees $631.39 paid
Status now "Plan Check Expired" (parcel report) — lapsed on its own; nothing pending, nothing to final. Do NOT revive (recreates TMF vehicle). Declaratory value intact: county PC1-reviewed set declares 1FL M→M, 2FL R3→R3, 66 sf alteration, no paving/grading, "Fire Sprinklered: No."
Paint-only = ADR only, NO building permit (Acker 8/25)

J's estimate 8/25 PM
Notes / open asks from J
1
Sidewalk repair (Arnold Dr frontage)
$6K / $9K / $13K
~$15K, could be less
J roughly accepts the range. Ask: could this condition be removed or reduced? (→ conditions doc)
2
Bus pad (NO shelter — J confirms pad-only)
$3–8K pad-only
$2–3K, self-performed; maybe a bench, probably just the pad
Question (J): what does the condition actually require — just a boarding pad, or anything else? Clarify the condition text.
3
2nd-floor decommission — MINIMUM SCOPE?
$10K base / $20K mid / $30K+ full
Near $0 if minimum = lock off the stair door + turn off utilities, kept cheap so it can be flipped back to residential ASAP
Question (J): what is the minimum legal decommission? Sink removal? Just utilities-off + locked access? How feasible/reversible? — potentially the biggest cost collapse in the whole table
4
Parking reconfig + restripe
$8–18K (incl. ADA stalls, curb ramp, slurry)
~$3K total — striping + signs + filling potholes only; no slurry, no curb ramp (J believes not required)
Question: is parking reconfig even required under CBL? (B6 covers)
5
ADA path + restrooms
$12–35K
$0 — all of it is already in BLD24-5589's approved scope and already exists on site
J: "That's in my building permit. I don't think anything needs to change." No spend.
≈ $23–26K (15+3+2+3+0+3, decommission near $0 if minimum-scope ruling lands)
vs JR research $45–164K — J's field knowledge collapses the CUP capital bill by ~60–85%
REVISED P1 MATH with J's numbers: $119,483.22 fees + ~$23–26K conditions ≈ $145–150K all-in (was $165–285K). Still dominated — and still costs the home + Sundays unless the amendment lands — but the gap is narrower, and if (a) decommission minimum = utilities-off, (b) sidewalk gets reduced, P1's condition bill approaches ~$10K. The residence/Sunday deal-breakers, not the money, remain what kills P1.
Unavoidable under ANY retail path (CBC 11B + parking): ~$25–50KCUP-ONLY premium (what the conditions add): ~$30–110K
P1 all-in: $119,483.22 fees + $45–164K conditions + soft costs ≈ $165K–$285K — and the home + Sundays are still gone. The locked-TMF "advantage" is ~$7K at corrected rates, possibly negative under net-new-trips. P1 is arithmetically dominated unless the amendment (Q2) rescues it.

LANDMINE — permit arguably already void on paper
J's directive: DO NOT ask, DO NOT mention. Course of dealing (billing Nov 2024, answering letters, offering payment plan) = county treats it as alive. Rely on that.
Deal-breaker #1 — baked into the BOS-approved project description + CEQA aesthetics findings. NOTE 8/25 PM (J's challenge, verified): "not severable / restoring = reopen CEQA" is JR's ANALYSIS from how the approval was constructed — Acker has NEVER addressed the residence question explicitly. Her 8/25 email covered paint only (ADR only, no building permit; white → DRH; landlord can apply independently). The amendment path is exactly what B1/B2 ask her — open until she answers. Q2

Bottom line of the table: under CBL, of all the 2021 conditions, only the scenic-corridor design review (Cond 25) plausibly survives at 15499 — a $500–3K line item. Everything costly or lifestyle-killing evaporates.
🧭 The Five Paths — complete cards
1Keep the CUP at 15499 last place — amendment or death
$165K–$285K all-in
Pay $119,483.22 (2023 payment plan revivable)
ALL conditions attach: sidewalk, bus pad, decommission, hours, Sundays, 2-yr BOS reviews
Home upstairs banned — in the BOS project description AND CEQA findings. Not severable.
The one lifeline: J was told amendments MIGHT be available (residence, Sundays, hours) Q2 — VERIFY with Acker
Amendment risk: reopens CEQA/findings/other conditions at best; full re-approval at worst
Cond 71 timer — landmine, rely on course of dealing, never raise
If Q2 comes back "amendment available, cheap, fast, no CEQA reopen" → P1 re-enters ranked #3. Otherwise dead.
2CBL same site, same entity hinges on Q3 permit answer
~$59K + $25–50K fit-out
By-right strips every 2021 condition except design review ($500–3K)
Keeps Glen Ellen + cap position; in-process = no transfer deadline (Orr #5)
THE HINGE (Q3): does office→retail at 15499 with zero construction require a building permit (change of occupancy, CBC §105.1)? If yes → TMF vehicle exists
If TMF forced: fight with $8.5K rate gap + net-new-trips (~$0 case) + prior-use credit (office × 3,847 sf) + Sheetz
Orr #4: reviews redone (Engineering, Plan Check, Fire, Planning, Sanitation) — fee = time cost
BLD24-5589 angle: does the open T.I. permit satisfy (or amend into) the CBL's permit need — and TMF only at final? Q15
BLD24-5589 still open on the parcel — decide keep/withdraw later; never mention its subject matter
Research win: already-retail building + no construction = no change of occupancy = no building permit = no TMF collection vehicle at all
Local buffers ELIMINATED (SCC §26-26-045: zero local distance buffers, 9-retailer cap + fire-zone exclusion only). Only rule: state 600 ft K-12 school/daycare (B&P §26054(b))
LF's $59,246.80 travels with the entity regardless of address
KENWOOD EXCLUDED by J 8/25 — P3 site hunt open: Boyes Hot Springs, Glen Ellen (14335 Sonoma Hwy), Penngrove, Guerneville, off-market former-retail
Watch: "intensity increase" TMF argument; CBL fire/life-safety check must not become backdoor permit; school-distance map check per candidate
Gate = Q6 in writing: does county condition new entity's CBL on LF debt? Either answer helps (Sheetz problem for them if yes)
5Fold LF → new entity BACK at 15499 🥇 best outcome if Q6 + landlord + permit fight cooperate
$0 county fees · no $59K · but carries P2's permit/TMF question
Same economics as P2 minus the debt: no $59,246.80, all CBL freedoms (home, Sundays, hours)
J's catch (8/25 evening): the county would still require a building permit HERE — the office→retail occupancy change follows the BUILDING, not the entity. Folding LF escapes the debt, NOT the permit question. P5 and P2 share this risk identically. The TMF that could attach at permit final is the real threat to P5's "free" economics.
But permit ≠ full TMF. Three layers of fight inside any required permit: ① Occupancy classification — office = Group B; retail = Group M; but low-volume secure-access cannabis retail has been argued as B in some jurisdictions → no occupancy CHANGE → no permit at all. County's classification position unknown — Q3/Q15 ② Prior-use credit — office 3,847 sf documented → offsets. ③ Net-new trips — office→retail ≈ similar ADT; delivery model pushes actual trips near zero → TMF ≈ $0 even if the permit exists.
How we find out without triggering anything: pull the BLD24-5589 submittal docs (permitsonoma.org Document Search — shows what occupancy the county itself recorded for this use in 2024); ask Building a neutral hypothetical ("existing office building, cannabis retail CBL, interior work only — what permit scope applies" = already Q3/B7, safe framing); or the Anderson file-review meeting (his thread, his offer). The CBL fire/life-safety review will surface it anyway — better we frame it first.
Requires: (1) Q6 written answer not cross-conditioning; (2) Goodharold leases to new entity terms unknown — Q14
County optics: "same building, new entity, old debt unpaid" — entity hygiene is everything
Design review still runs with the land (scenic corridor) — $500–3K, fine
Same investor-money sequencing rule as P4
P5's clean framing: it is P2 with the debt erased. Whatever happens with the permit/TMF question, P5 ≥ P2 economically. So the REAL ranking hinge is Q6 (can we fold cleanly?) vs Q3 (what does 15499 cost either way) — and if the permit fight goes badly for 15499 generally, BOTH drop below P3's guaranteed no-permit path.
🔀 The Hybrid — open under CUP, convert to CBL immediately
J's 8/25 AM idea, analyzed:
Concept: use the in-hand approvals to open fastest, then convert to CBL to shed the bad conditions (Sunday/hours/livability/sidewalk/bus pad).
Fatal flaw #1: you cannot open under the CUP without paying the full $119,483.22 (Cond 2) AND completing the capital conditions (sidewalk, bus pad, decommission = the home goes) first. The hybrid requires buying the whole P1 pain before shedding it.
Fatal flaw #2: decommissioning the residence to open, then un-decommissioning later = double spend + re-permit + you'd have revealed intent (bad faith optics on any later flexibility ask).
Variant that survives: convert BEFORE opening — i.e., P2. The CUP's only real value then is (a) locked TMF rate (worth ~$7K corrected, possibly negative), (b) queue precedent. That's thin. The CUP is worth more as negotiating history than as an entitlement.
Timing trap on any conversion: BOS mobility item (Orr #6) could change relocation rules mid-flight — conversion before that vote locks current rules; waiting could gain flexibility. BOS agenda date unknown — A6
Verdict: hybrid as imagined is dead on the math. Its useful residue = P2-with-urgency: convert before the BOS item moves the goalposts, or deliberately wait for it — that's a real strategic fork worth one more question to Orr (A6).
⚖️ TMF & Building-Permit Law — the load-bearing research
🔎 BLD24-5589 decoded — J's exact question: "doesn't my permit show it was already the same use?"
What the county record actually says (data.sonomacounty.ca.gov, pulled 8/25): file BLD24-5589 · "Building Permit With Plan Check" · filed 9/4/2024 · description "WFOA...Commercial T.I." · value $10,000 · fees $631.39 · status "Resubmittal Received" (open, never finaled, never expired).
Honest answer: NO — the permit does not show "same use already." A "Commercial T.I." (tenant improvement) permit reviews a fit-out within a commercial occupancy — it was filed UNDER the 2021 CUP approval as part of the dispensary project (scope: restripe, ADA path, minor restroom). The building's legal occupancy remains what the county has always recorded: office, 3,847 sf. The open dataset has no occupancy-change field; nothing in the record converts it.
But it's still a strong precedent FOR us, three ways:
① The county itself scoped the dispensary use as a $10K finish-level T.I. — not a major occupancy conversion — in 2024, five years after the office-use baseline. That's the county's own institutional view that this change is minor.
② No TMF was charged on this permit ($631.39 total fees). Cond 5 puts TMF at permit FINAL — it never finaled, so the TMF collection event never attached. The permit sits parked in exactly the state that avoids TMF.
③ If LF goes CBL (P2/P5), the open question becomes: does the county accept BLD24-5589 (or an amendment to it) as the only permit needed — and does TMF get demanded at ITS final? Q15 — new, below
Caution: "WFOA" prefix meaning unverified (likely tenant/landlord fit-out agreement reference). The approved plan set ("Fire Sprinklered: No") is the deeper evidence — pull the actual submittal docs via permitsonoma.org Document Search when needed.
Permit trigger (CBC §105.1): change of OCCUPANCY forces a permit even with zero construction. 15499 = office → retail = change. Already-retail building = no change = no permit.
TMF vehicle: the fee is collected through the building-permit process. No permit → no collection event. That's the P3/P4 core.
Rate verified (this is now evidence, not argument): 2026 official schedule, both programs, $318/ADT commercial (ENR CCI 14,118.46 vs 13,731.60 = +2.8%; SCC §§26-98-600/26-98-010). 211.2 × $318 = $67,161.60. Orr's $75,661.74 implies $358.15/trip — matches nothing. Demand worksheet (A1) citing the code sections.
Net-new trips: TMF constitutionally (Mitigation Fee Act) and by program design applies to net new ADT. Occupied office → retail: ITE says similar trip magnitudes; with a delivery-heavy model and actual counts <100/day, net-new ≈ 0. County's acceptance of actual counts — A3
Prior-use credit: By-Right path = occupancy type × sq ft with credit if prior occupancy documented (Orr's own letter). Office 3,847 sf is documented. The locked $60,236.42 came from the UP path's 150-ADT traffic study — a study-based credit that may actually be WORSE than a clean prior-use credit at an already-retail site.
Sheetz v. County of El Dorado (2024): US Supreme Court — exactions/fees must be proportional to actual impact. Weaponizes: (a) inflated reassessment, (b) cross-entity fee conditioning (Q6), (c) any "intensity increase" stretch.
BLD24-5589 precedent: county accepted a $10K finish-level T.I. for THIS use in 2024 with no TMF — supports the minimal-permit posture. It sits open, never finaled, never expired. Leave it; decide later. It does NOT establish "same use already" — it's a fit-out permit under the CUP, not an occupancy finding (see decoded box above).
The permit-to-TMF chain, in one line each
No construction + no occupancy change (already-retail site) → no building permit → no TMF collection event → $0.
Occupancy change (office→retail at 15499) → CBC §105.1 forces a permit → permit FINAL is where TMF is collected (Cond 5 pattern) → TMF demanded — unless the occupancy-classification fight (B vs M), prior-use credit, or net-new-trips argument wins. Applies identically to P2 and P5 — folding the entity does not escape a building problem.
Paint only → ADR (planning), not a building permit (Acker 8/25) → $0 TMF. Landlord can do it independently today.
BLD24-5589 as-is → open, unfinaled, no TMF attached → the parked state. The fight is over what finaling it later would demand.
Glossary (J asked)
"Fit-out" = the interior buildout of the dispensary itself: display cases, counters, security cage/cameras, safe room, wall changes, finishes, lighting, point-of-sale — everything inside the shell that makes it a store. It is REQUIRED under every path (any retail use needs one); its cost ($25–50K class) is NOT a CUP condition and NOT permit-driven unless walls/egress change.
T.I. (tenant improvement) = same thing in county vocabulary — BLD24-5589 is literally one, scoped at $10K.
ADR/DRH = county design review (administrative vs hearing) — exterior looks only.
🛡️ Fold-Path Legal Armor (P4/P5)
Alter ego (CA): needs unity of interest (commingling, undercapitalization, no separate books) + fraud/injustice. Common ownership + shared rep ≠ enough. County's odds vs a clean parallel entity: LOW (research verdict).
Successor liability: needs asset transfer + mere continuation/de facto merger/fraudulent transfer. No assets leave LF → no hook. The restaurant-chain analogy: one location folds, another opens fresh.
The real risk = UVTA / Corp. Code §1912: clawback of investor money returned before an insolvent wind-down. Protocol: return BEFORE any wind-down decision, while solvent, papered as return of unused capital, attorney sign-off. Exact sequencing — business attorney, Q10
J's rep/consultant role across entities: LOW risk — it's services, not co-mingling. Paper each entity's own authorization paperwork.
Entity hygiene checklist: separate books/banks/officers per entity, zero inter-entity transfers, market-rate arm's-length service agreements, own applications, contemporaneous minutes.
Equity framing if county objects: punishing a new venture for the old framework's failures is inequitable; LF is a 2017-era framework casualty; post-Ord-6537 world is a new legal regime.
📜 Back-Threads — live assets from prior campaigns
1. Scott Anderson thread (building inspector, June 2026)
Inspected John's 27 Fremont dispensary late 2023 — good experience; John re-contacted re Glen Ellen June 2026; Anderson said "familiarize me and I'll point you right." Two emails sent via ChatGPT; no reply on record — check John's inboxVERIFY.
Thread rules that still govern: never mention sprinklers; frame as "what remains necessary under current ordinance"; never say "the new law is clear"; no attachments; best outcome = in-person file review.
Confirmed BLD24-5589 scope = restripe + ADA path + minor restroom; approved set states "Fire Sprinklered: No" — the prior determination to preserve.
2. CBL relocation fight (the origin of Orr's BOS item)
County waitlist page: "once a CBL issues, no moving without abandoning cap spot." John showed this sentence appears ONLY on the waitlist page — not in Ord 6537/6538, not in CBL procedure/application/acknowledgement. GovDelivery language DOES allow pre-issuance relocation (abandon UP/withdraw app BEFORE CBL issues = in-process relocation).
Equal-treatment argument (June 2026): waitlist newcomers get a year to shop leases; legacy operators get zero. Five principles: equal treatment, no cap increase, better locations, protect investment, admin simplicity. Demanded: same 1-year window post-surrender with cap position reserved.
Key open research: was "no post-CBL relocation" ever BOS-adopted, or is it staff's website gloss? If gloss → administrative fix, no ordinance change.
LOCKED INTO ORR ASK #4 (8/29, J's directive): the right we're pinning down, framed entirely from LF's perspective: LF releases its lease/site commitment, converts to CBL, and gets the SAME period to find and secure a new site (≈1-year window) that a new waitlist applicant receives — equal footing, no second-class mobility for in-process applicants. Written answer = Path 3's foundation. (Note: any parallel situation at other entities is deliberately NOT referenced — separation of lanes.)
This campaign fed Orr's #6: BOS is taking up mobility/single-move with a progress report. The 12–18pp stakeholder paper was never completed/sent — it's ammunition on the shelf if the BOS item goes badly.
3. Acker paint email (8/25) — exactly what she said (attribution cleaned 8/25 PM after J's challenge)
Her explicit statements were PAINT-ONLY: repaint = ADR only, NO building permit; white fails solar-reflectivity → DRH; same/similar color = administrative; landlord (Goodharold, goodharold2020@gmail.com) can apply independently NOW.
NOT her statements (JR analysis, so labeled everywhere in this deck): residence loss being "structural/not severable" — that's our read of the project description + CEQA findings. She has never addressed the residence, Sundays, or amendment questions. Those are B1/B2, still open.
Corollary benefit of her paint ruling: paint path = no building permit → no TMF — that inference IS solid.
♟️ The Wider Cap Campaign — how Loe Firehouse fits the board
The cap: 9 retail slots. Cap Protection Letter (July, to Orr) argues cap protects legacy operators + consumers; lifting = retaliation/equal-protection exposure (Santa Rosa failure as evidence).
SCV LLC holds waitlist positions 1–10** (July 1, 2026 timestamps; Miller documented with county spreadsheets 7/19). If any slot frees, SCV is first in line — this is the P4/P5 new-entity vehicle.
#9 Kenwood disqualification demand to Acker: operator abandoned site (now a coffee shop; D'Argenzio email 6/11–12/26). If #9 freed → SCV first. Status: no ruling yet — chase
Mobility linkage: licenses should move more than once; #9 flexibility ↔ Loe Firehouse flexibility are the same argument — both feed the BOS item.
Aug 1 entity letters (8 entities): Loe Firehouse, Goodharold, Sevenfold/15 Fremont CUP→CBL, SCV, Studco, West Green Pastures, Shaq I, Attack of the Clones — the whole board is J-controlled or J-repped. Hygiene across all of them matters for every alter-ego analysis.
Aug 10 letter to Orr (8 sections incl. now-dead $20K fee-cap compromise + 10-business-day demand) → answered 8/24. The relationship is adversarial-productive: county engages, concedes points (TMF drop on abandonment, no transfer deadline), holds lines (collections, review redo).
📍 Unincorporated Site Inventory (P3/P4)
Screening rules (post-research, corrected)
Zoning: C1/C2/C3/LC primary (per new ordinance retail provisions), M1–M3 fallback — must be UNINCORPORATED (no city limits).
Local buffers: NONE for storefront retail (SCC §26-26-045 — only 9-retailer cap + Very High Fire Severity Zone exclusion). One test remains: state 600 ft from K-12 school/daycare/youth center (B&P §26054(b)).
Prior/current RETAIL use = gold (no occupancy change → no permit → no TMF).

Excluded: Airway Dr (inside Santa Rosa). Next passes: PermitSonoma zoning lookups per address; broker canvass for off-market former-retail (former dispensaries = gold); school-distance mapping. LoopNet blocks direct fetches — several entries snippet-derived.
⏱️ Timing — who's fast, who's slow, what can trap you
Lease-hunt dependent: 4–9 mo (lease + CBL + fit-out)
Good already-retail sites are scarce; DRH if exterior changes (4–8 wks sched.)
P4/P5
4–10 mo: Q6 answer → entity setup → CBL → fit-out
Collections fight may run parallel (doesn't block opening); investor-money sequencing must complete BEFORE wind-down motion
BOS mobility item (date unknown — A6)→vote BEFORE converting = rules lockvote AFTER = possible 1-yr relocation window (the old demand!)

SEND ARCHITECTURE (J 8/25 PM): EMAIL 1 from Loe Firehouse Corp — Section A (A1 TMF-computation walkthrough + A2/A3/A5/A6) → Orr; Section B (B1–B8) → Acker on paint thread. Confirms LF's thinking on LF's paths, signals nothing. EMAIL 2 from a different entity or J as consultant — the cross-entity/fold questions (Q6 + waitlist mechanics), asked by someone with standing to ask. Nothing in Email 1 compromises Email 2. Sender entity for Email 2 = J's pick, pending. All questions phrased as confirmation asks so answers validate/kill deck assumptions directly.
🌲 Decision Tree
STEP 1 — Q2 (Acker): CUP amendment available for residence+Sunday+hours, cheap, no CEQA reopen?
→ YES:P1-modified re-enters at #3 (pay $119K + conditions)→ NO:P1 DEAD → CBL family
STEP 2 — Q6 (Orr, in writing): does LF debt block a new entity's CBL?
→ NO:P5 LIVE → ask Goodharold (Q14) → landlord yes = P5 GO (best outcome)→ YES:P4/P5 dead-ish (Sheetz fight available but slow) → P2 vs P3
STEP 3 — Q3 (county): permit-free CBL at 15499?
→ YES:P2 at ~$59K clean — default winner if Q6 is "yes"→ NO:P3 — already-retail site (non-Kenwood) + Q4 confirmation = $0 TMF path
ALWAYS PARALLEL: A6 BOS date (timing fork) · investor-money sequencing BEFORE any fold · close Q1 formally with Orr's line-item

Subject: Loe Firehouse Corp / UPC 17-0094 — fee accounting and process questions
Scott,
Thank you for your August 24 letter. To complete our records and evaluate our options, please confirm the following in writing at your convenience:
1. Please provide the complete TMF computation, walked through step by step, not just the total — the per-trip rate applied, the trip generation basis (ITE rate, traffic study, or actual counts), any prior-use credit applied, and the program/district used — for both the $60,236.42 figure and the reassessed $75,661.74 figure. The County's published 2026 fee schedule (effective January 1, 2026) lists a Commercial rate of $318/ADT, which produces $67,161.60 at 211.2 ADT; please reconcile the difference with the $75,661.74 figure.
2. Please confirm the current line-item accounting of the $119,483.22 balance (at-cost fees, traffic mitigation fee, interest, penalties), and whether the $60,236.42 TMF component is inside that balance or in addition to it.
3. Please confirm whether the TMF for conversion of an existing occupied commercial building to retail applies to NET NEW trips above the existing use, and how prior-use credit is calculated in that case.
3a. Related to that: if a Cannabis Business License is issued for an existing commercial building whose lawful existing use is already retail — whether this building or another — and the tenant's move-in involves no construction beyond repainting and installing movable shelving, furniture, and fixtures (no building permit required or sought), is any traffic mitigation fee due in that circumstance, or is the TMF collected only in connection with building permit issuance?
3b. And to confirm our reading of your August 24 letter: the outstanding balance and the "no clearances until permit costs are paid" hold attach to this application and this applicant only (Loe Firehouse Corp / UPC 17-0094) — they would not apply to a different applicant's separate application for a different site. We want our records to reflect the County's cost-recovery framework accurately.
4. For an operating business, or for an in-process application such as ours, what is required to relocate the site of operations — specifically, if the applicant released its current lease and site commitment while pursuing conversion to a Cannabis Business License, could it relocate to a new site? We want to confirm that the same relocation policy applies equally to in-process applications and to operating businesses, as the ordinance provides — and in that case: does relocation reset or preserve the application's place in processing, and does the applicant then have the same period to identify and secure a new site (e.g., the roughly one-year site-search window) that a new applicant from the waitlist receives?
5. You mentioned the Board of Supervisors will take up the mobility/single-move item — please share the expected timeline and agenda date when available.
Thank you,
Jorg Lanz

To: Crystal Acker — crystal.acker@sonomacounty.gov
Subject: RE: 15499 Arnold Dr — design review follow-ups (UPC 17-0094)
Hi Crystal,
Thank you for the guidance on repainting. Follow-ups, so everything is in one thread:
1. To confirm: the ADR (or DRH if we chose a light color) for repainting does not require a building permit and triggers no fee beyond the design review fee — is that correct? And so we can settle the color question efficiently: which paint colors or palette are eligible for administrative approval for this building — specifically, is a neutral warm white in the same family as the existing gray-white eligible for administrative treatment (including any solar-reflectivity standard it needs to meet), and if not, what is the closest administratively approvable option?
2. If we pursued Design Review with Hearing for a light exterior color, what is the typical timeline to a hearing date?
3. A factual confirmation about open permit BLD24-5589 (Commercial T.I., filed September 2024): our reading is that it was processed as a tenant improvement with no change of use or occupancy, and the approved set reflects no fire sprinkler requirement for that scope. If that's correct: (a) for a Cannabis Business License at this site with **no construction at all** — the space works as-is, so the only changes would be repainting and movable furniture/fixtures — is any new building permit required, or can the business occupy and operate with no building permit? and (b) if any building permit is required, exactly which fee programs attach?
4. Process question: our modification application UPC23-0005 (filed November 3, 2023) requests amendment of conditions #14 (add Sunday operations 10am–7pm) and #22 (retain the second-floor dwelling as employee rental rather than convert/decommission). (a) What is the current status of UPC23-0005, and does it remain available for processing? (b) If we instead pursued a Cannabis Business License conversion rather than deciding the modification, would the CBL conversion supersede UPC23-0005, or could the modification be decided first? (c) For either path, what process, cost, and timeline would be involved? So the record is clear: the second-floor dwelling is a make-or-break condition for the applicant; if there is no path under the Use Permit that permits residential use of the second floor, the applicant cannot proceed on the Use Permit path. Please treat that as a material factor in advising on the amendment question.
5. If a Use Permit amendment were sought, would it reopen the CEQA analysis, the project description, or other conditions of approval?
6. Separately from the dispensary use: what residential allowances apply to the second floor of this parcel under the Limited Commercial zoning, independent of the use permit?
7. To confirm our reading of the new Chapter 26 provisions (Ord. 6536/6537/6538, effective July 1, 2026): for storefront retail under a Cannabis Business License, the only applicable distance requirement is the State's 600 feet from K-12 schools, daycares, and youth centers under B&P §26054(b), and no local sensitive-use buffers apply — is that correct?
8. To help price the remaining conditions of approval: (a) is an ADA-compliant boarding pad the full transit-improvement requirement, or is more required? (b) what is the minimum action that satisfies the second-floor decommission condition, and what would restoring residential use later require? (c) what is the required scope and standard for the sidewalk condition? (d) is restriping and signage the full parking scope? And please confirm whether any of these improvements would be required at all under a Cannabis Business License conversion.
Thank you,
Jorg

Working recommendation: target P5 (fold + return as clean entity), fallback P3 (already-retail site — hunt now excludes Kenwood), default P2 if the county forces the issue at 15499. P1 only if the amendment miracle lands. Do not send a dollar or sign a lease until Q6 + (Q3 or Q4) are in writing. (Q1 closed by J 8/25.)
